Halligan Print Customer Contract

General Terms and Conditions

Halligan Print contracts with Customer, subject to and upon the following terms and conditions of sale. These terms shall exclusively govern all sales of and services of Halligan Print. All correspondence regarding Halligan Print's goods and/or services submitted by Customer to Halligan Print must be agreed in writing by duly authorised officer of Halligan Print.

Customer agrees to all the terms held within this contract and by signing said contract agrees to all payment conditions.

None of these conditions shall affect or be construed to affect the Customers statutory rights if any under the Consumer Credit Act 1995.

Ownership of Goods

The property of the goods shall remain in Halligan Print's possession until they have received a payment in full for the goods subject of this contract and for all

other goods delivered to Customer. All logos and designs created by Halligan Print will remain the sole property of Halligan Print under copyright law. Customer may not, under any circumstances, use said logo and design (in newspaper adverts, vouchers, in store promotions, websites etc.) without the express consent of Halligan Print.

All designs created by Halligan Print will remain the sole property of Halligan Print under copyright law. Customer may not, under any circumstances, use said designs.

Nothing in this clause shall confer any right upon Customer to return the goods.

Delivery and Risk

Any dates quoted for the delivery of goods to Customer are approximate and Halligan Print shall not be liable for any delays in the delivery of the goods however caused. Time for delivery shall not be of the essence in this contract unless previously agreed in writing by both Halligan Print and Customer. Delivery quotes are based on the amount of work involved in the order at time of quote. If Customer adds or changes information (including but not limited to: layout changes, logo changes, additions of new logos or information, edits of verbage and copy, any and all base changes to original order) relating to the order, Halligan Print reserves the right to alter the delivery date accordingly. The goods properly packed and secured in such a manner as to reach their destination in good condition under normal conditions

of transport, shall be delivered by Halligan Print at, or dispatched for delivery to the place or places and in the manner specified in the Order or subsequently agreed upon in writing.

The goods may be delivered by Halligan Print earlier than the quoted delivery date.

If the goods are not received by Customer within seven days of the agreed delivery date, Halligan Print will immediately inform Customer.

Halligan Print is entitled to make partial deliveries.

Halligan Print reserves the right to sub-contract fulfilment of any Customer contract or any part thereof.

Prices

Any price quoted by Halligan Print is provisional only and is subject to fluctuations and/or changes due to any relevant costs.

Final pricing must be agreed upon in writing by both Halligan Print and Customer before Order can be processed. Short runs needed urgently (within 5 days) have an individual pricing structure.

Payment Terms

Unless otherwise expressly agreed in writing by both Halligan Print and Customer, payment for Goods together with VAT and any other applicable taxes, shall be made in full by Customer to Halligan Print immediately, upon delivery

of goods. If Customer violates these payment terms, Customer shall pay Halligan Print a late fee of 7% of total due per month. No repeat orders will be undertaken by Halligan Print until all monies owed by Customer to Halligan Print are paid in full, or payment arrangements are made in writing with Halligan Print.

Design Terms

All Designs set forth by Halligan Print to Customer must be proofed by Customer and subsequently signed off on in writing before Halligan Print will begin printing the order.

Customer agrees that all colours in the designs on the proofs are the closest approximation to the actual printed colours.

Quotes and Pricing shall be provided to Customer, based on information provided by Customer at the time of the quotation. If any information (including but not limited to: layout changes, logo changes, additions of new logos or information, edits of verbage and copy, any and all base changes to original order) is added or changed after the quotation is agreed upon by both Halligan Print and Customer, Halligan Print reserves the right to adjust the quotation and pricing accordingly.

* If exact Pantone colours are required, an increase in the order price will be made accordingly.
